Terms of service

Last updated: 2026

These terms apply when you use the vSpes website, app and related services (the “Service”), provided by vSpes (“we”, “us”). By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

1. Your account

You must give accurate information when you sign up and keep it up to date. You are responsible for keeping your sign-in details private and for all activity under your account. Tell us at once if you think someone else has access to it. You must be old enough to form a binding contract in Nigeria, or have permission from a parent, guardian or school.

2. Plans and payment

The Service is offered on free and paid plans. Plan features, limits and prices are set out on our pricing page and may change. Paid plans are billed in advance for the period you choose. Where a payment is taken, we will tell you the amount, currency and billing period before you pay. Unless the law requires otherwise, payments are non-refundable except where we have made an error. We will give notice before any price change takes effect for your existing plan.

3. Acceptable use

You must not use the Service to:

  • break any law, or infringe anyone’s rights, including privacy and intellectual property rights;
  • harass, threaten, defame or harm other people, or share unlawful, hateful or sexually exploitative content;
  • record or share a meeting without the consent of participants where the law requires consent;
  • send spam, or use the Service to gain unauthorised access to any system or data;
  • interfere with or disrupt the Service, or attempt to reverse-engineer it except where the law allows; or
  • use the Service in a way that puts children at risk.

We may suspend or end accounts that break these rules, and we will tell you why where we lawfully can.

4. Meetings, recordings and content

You are responsible for the content you post, share or record in a meeting. Hosts are responsible for telling participants when a meeting is recorded or transcribed. You keep your rights in your content. You give us only the permission we need to run the Service for you.

5. Our intellectual property

The Service, including its software, design, text and trademarks, belongs to us or our licensors. These terms do not give you any right to use our name or branding except to describe the Service.

6. Availability

We work to keep vSpes available and reliable, but we do not promise that it will be uninterrupted or error-free. We may carry out maintenance, and we may change or discontinue features. Where we discontinue a paid feature, we will give reasonable notice and refund the unused part of your payment for that feature.

7. Data protection

We process personal data as described in our privacy notice, which forms part of these terms. Where a school or organisation uses vSpes for its members, the processing terms in our data processing agreement apply.

8. Ending the agreement

You can close your account at any time from your settings. We can suspend or end your account for a serious breach of these terms, after telling you where we lawfully can. On closure, your data is handled as set out in our privacy notice.

9. Liability

To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profits, data or goodwill arising from your use of the Service. Our total liability to you is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under Nigerian law, including for death or personal injury caused by negligence or for fraud.

10. Changes to these terms

We may update these terms. We will tell you about material changes by email or in the app at least 14 days before they take effect. If you keep using the Service after that, you accept the updated terms.

11. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. We will try to resolve any dispute with you informally first. If we cannot, the courts of Cross River State, Nigeria, have jurisdiction.
